Terms of Service

These terms of service ("Terms", "Agreement") are between CleAPI and you ("User", "you" or "your"). They set forth the terms and conditions of your use of cleapi.com and its services. By accessing or using our website and services, you agree to be bound by these terms. If you disagree with any part of the terms, you may not access the service.

• Accounts and Membership. You are responsible for your account's security and all activities under it. Providing false information may result in account termination. You must notify us immediately of any unauthorized use of your account or any other breach of security.
• Acceptance of Terms. By accessing or using our services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must not access or use our services. Your continued use of our services constitutes your acceptance of any updates or changes to these Terms.
• User Content. You own your submitted content. We may monitor it but won't use it for commercial purposes without permission. By submitting content, you grant CleAPI a worldwide, non-exclusive, royalty-free license to use, distribute, reproduce, modify, adapt, publicly perform, and publicly display such content.
• Backups. We regularly backup our services to minimize downtime in case of failure or data loss. However, these backups are for our own administrative purposes only and are not guaranteed. It is your responsibility to maintain your own backups of your data.
• Links to Other Websites. We're not associated with any linked websites. We are not responsible for the content, privacy policies, or practices of any third-party websites. You acknowledge and agree that CleAPI shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.
• Data Security. We implement a variety of security measures to maintain the safety of your personal information. All sensitive information is transmitted via Secure Socket Layer (SSL) technology and encrypted in our database. However, no method of transmission over the Internet, or method of electronic storage, is 100% secure. Therefore, we cannot guarantee its absolute security.
• Termination and Suspension. CleAPI reserves the right to terminate or suspend your account and access to the services at any time, without notice, for conduct that CleAPI believes violates these Terms, is harmful to other users of the services, or is harmful to the interests of CleAPI. Upon termination, your right to use the services will immediately cease, and CleAPI may, without liability to you or any third party, immediately deactivate or delete your account and all associated materials, without any obligation to provide further access to such materials.
• Disclaimers and Warranties. CleAPI provides the services on an "as is" and "as available" basis. CleAPI does not warrant that the services will be uninterrupted, error-free, or free from viruses or other harmful components. CleAPI disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. CleAPI makes no representations or warranties regarding the use or the results of the use of the services in terms of their correctness, accuracy, reliability, or otherwise.
• Limitation of Liability. To the maximum extent permitted by applicable law, in no event shall CleAPI, its affiliates, directors, employees, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including, but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the services; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the services; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our services by any third party; (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the services; and/or (vi) the defamatory, offensive, or illegal conduct of any third party. In no event shall CleAPI's total liability to you for all claims, damages, losses, and causes of action exceed the amount paid by you, if any, for accessing the services during the twelve (12) months immediately preceding the date of the claim or one hundred U.S. dollars ($100.00), whichever is greater.
• Governing Law. This Agreement and any disputes arising out of or in connection with it shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within the State of Delaware for the purpose of litigating any such claims or disputes.
• Dispute Resolution. In the event of any dispute, claim, question, or disagreement arising from or relating to this Agreement or the breach thereof, the parties shall use their best efforts to settle the dispute, claim, question, or disagreement. To this effect, they shall consult and negotiate with each other in good faith and, recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to both parties. If the parties do not reach such solution within a period of 30 days, then, upon notice by either party to the other, all disputes, claims, questions, or differences shall be finally settled by arbitration administered by the American Arbitration Association in accordance with the provisions of its Commercial Arbitration Rules.
